1. About this policy
1.1 This Acceptable Use Policy (AUP) sets out rules for how the Customer and its Users may use the Premya appliance, software and services (Premya) supplied by Idionic Pty Ltd (ABN 14 699 014 045) (Idionic).
1.2 This AUP forms part of the Agreement and must be read with the Master Terms, the Software Licence Terms, the Privacy Policy and the AI Use Disclaimer. Capitalised terms have the meaning given in the Master Terms.
1.3 The Customer is responsible for ensuring all of its Users comply with this AUP.
2. Permitted use
2.1 Premya may be used only for the Customer's lawful internal business purposes, within the Tier and User limits in the Order Form, and in accordance with the Agreement.
3. Prohibited use
3.1 The Customer must not, and must ensure its Users do not, use Premya to:
(a) breach any applicable law, regulation or professional or regulatory obligation;
(b) infringe the intellectual property, privacy, confidentiality or other rights of any person;
(c) input, store or process data the Customer is not lawfully entitled to input, store or process;
(d) create, store or distribute material that is unlawful, defamatory, harassing, discriminatory, threatening, or that depicts or facilitates abuse;
(e) generate or facilitate fraud, deception, scams, malware, or attacks on any system;
(f) attempt to defeat, bypass or interfere with any security, access-control or licence-control feature, or gain unauthorised access to any system or data;
(g) use Premya to make automated decisions about individuals that produce legal or similarly significant effects without appropriate human oversight and verification;
(h) rely on Output as professional, legal, financial, medical or other advice without independent verification (see the AI Use Disclaimer);
(i) reverse engineer, copy, resell, sublicense or otherwise use the Software contrary to the Software Licence Terms; or
(j) use Premya in any way that could damage, disable or impair the appliance, the Software, or Idionic's reputation.
3.2 The Customer remains responsible for the lawfulness and accuracy of its Customer Data and for the consequences of how it and its Users use Premya and any Output.
4. Security and accounts
4.1 The Customer must:
(a) keep User credentials and access secure, and promptly disable access for Users who should no longer have it;
(b) maintain the physical and network security of the appliance and the Customer's premises;
(c) promptly notify Idionic of any suspected security incident, unauthorised access or misuse affecting the appliance; and
(d) not share access codes, licence keys or credentials with unauthorised persons.
5. Consequences of breach
5.1 If Idionic reasonably considers that the Customer or a User has breached this AUP, Idionic may (without limiting its other rights and in accordance with the Master Terms):
(a) require the Customer to stop the conduct and remedy the breach;
(b) suspend the relevant User's or Customer's access to the Software or Managed Services where reasonably necessary (for example, to protect security, legal compliance, or the integrity of the system); and/or
(c) terminate the Agreement for material breach where the breach is serious or not remedied.
5.2 Because Premya runs on the Customer's premises and Idionic does not access Customer Data, the Customer is primarily responsible for monitoring and enforcing acceptable use by its own Users.
6. Changes
6.1 Idionic may update this AUP from time to time in accordance with the variation provisions of the Master Terms.
