1. About these terms

1.1 These Website Terms of Use (Terms) govern your access to and use of the website at premya.ai and any related Idionic web properties (the Site), operated by Idionic Pty Ltd (ABN 14 699 014 045) (Idionic, we, us, our).

1.2 By accessing or using the Site, you agree to these Terms. If you do not agree, you must not use the Site.

1.3 These Terms govern use of the Site only. The supply of the Premya appliance, software and services is governed by the Premya Master Terms and Conditions of Supply and the Software Licence Terms, not by these Site Terms.

2. Use of the Site

2.1 You may use the Site only for lawful purposes and in accordance with these Terms. You must not:

(a) use the Site in any way that breaches any applicable law or regulation;

(b) attempt to gain unauthorised access to the Site, its servers, or any connected system or network;

(d) interfere with, disrupt, or place an unreasonable load on the Site or its infrastructure;

(e) use any automated means (including bots or extraction tools) to access, copy or harvest content from the Site without our written consent;

(f) copy, reproduce, republish, frame, or redistribute any content from the Site except as expressly permitted; or

(g) misrepresent your identity or affiliation, or access any gated or password-protected area without authorisation.

2.2 Gated areas. Parts of the Site may be protected by an access code or password and made available only to specific invited parties. You must not access, attempt to access, or share access to any gated area unless we have authorised you to do so. Access codes are personal to the recipient and must be kept confidential.

3. Intellectual property

3.1 All content on the Site — including text, graphics, logos, the Premya name and marks, images, audio, video, designs, layout and software — is owned by or licensed to Idionic and is protected by intellectual property laws.

3.2 We grant you a limited, revocable, non-exclusive licence to view and use the Site for your personal or internal business evaluation purposes only. No other rights are granted. You must not use our trade marks or branding without our prior written consent.

4. Information on the Site, and AI-generated content

4.1 Content on the Site is provided for general information only. While we take reasonable care, we do not warrant that Site content is accurate, complete, current or fit for any particular purpose, and it may change without notice.

4.2 Any descriptions of Premya products, capabilities, tiers, pricing or roadmap are indicative only and do not form an offer or a contractual commitment. The supply of Premya is governed solely by a signed Order Form and the Master Terms.

4.3 The Site, or content referenced from it, may include AI-generated material. Such material may be inaccurate or incomplete and does not constitute legal, professional, financial or other advice. You should not rely on it without independent verification (see the AI Use Disclaimer).

5. Third-party links

5.1 The Site may contain links to third-party websites or resources. We provide these for convenience only and are not responsible for their content, availability, or practices. A link does not imply endorsement.

6. Privacy

6.1 Our handling of personal information collected through the Site (for example, contact and enquiry details) is described in the Premya Privacy Policy, which forms part of these Terms.

7. Disclaimers and liability

7.1 To the maximum extent permitted by law, the Site and its content are provided "as is" and "as available", and we exclude all warranties, guarantees and representations not expressly set out in these Terms.

7.2 Nothing in these Terms excludes, restricts or modifies any consumer guarantee or right under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, or any other right that cannot lawfully be excluded (Non-Excludable Rights).

7.3 To the maximum extent permitted by law and subject to the Non-Excludable Rights, Idionic is not liable for any loss or damage (including indirect or consequential loss, loss of profit or data) arising from your access to or use of, or inability to use, the Site or any content on it. Where our liability cannot be wholly excluded, it is limited (at our option) to re-supplying the relevant content or service or paying the cost of doing so.

7.4 We do not warrant that the Site will be uninterrupted, secure or error-free, and we may suspend, withdraw or restrict all or part of the Site at any time without notice.

8. Changes and termination

8.1 We may update these Terms at any time by posting the updated version on the Site. Continued use after changes are posted constitutes acceptance.

8.2 We may restrict or terminate your access to the Site (including any gated area) at any time, without notice, where we reasonably consider it necessary.

9. Governing law

9.1 These Terms are governed by the laws of Western Australia, and you submit to the non-exclusive jurisdiction of the courts of Western Australia.
